Ambassador program terms

You refer dental practices and dental groups to Riiva. When a referred practice becomes a paying Riiva customer, you earn commission on what that customer pays. You are an independent contractor, not an employee, agent, partner, or joint venturer of Riiva, and you have no authority to bind Riiva or to make representations on its behalf.

Commission is paid only on Riiva software subscription revenue and on Riiva contingency recovery fees that a referred customer actually pays and that Riiva actually keeps.

Commission is never paid for referring patients, is never based on the volume or value of any patient referral, and is never tied to any practice's clinical or treatment decisions. Nothing in this program is compensation for arranging or recommending care. If your promotion of Riiva would involve directing patients anywhere, stop and contact us before continuing.

Your tier is determined automatically by the number of referred practices that are live and paying. Crossing a threshold moves every referred practice you have to the higher rate, not only new ones. A drop below a threshold moves you back down for commission accrued after that point; commission already accrued is not restated.

There is no lead fee, sign-up fee, or go-live bonus. Every dollar this program pays is a percentage of money a referred customer has actually paid Riiva.

Commission on a given referred practice runs for 12 months from that practice's first paid invoice. Payments that practice makes after the term ends do not generate commission.

A visitor who reaches Riiva through your referral link is attributed to you for 90 days from the first click. Attribution is first touch: if a visitor arrives through your link and later arrives through someone else's, the referral stays yours.

Attribution is decided once, when the customer record is created, and is not rewritten afterwards. A practice that was already in a Riiva sales conversation before your link was clicked may be excluded, and we will tell you if that applies.

Payouts are made through Stripe Connect. You complete Stripe's own onboarding, where Stripe collects your tax form (Form W-9 in the United States, Form W-8BEN or W-8BEN-E outside it), your tax identification number, and your bank details. Riiva does not receive, process, or store your tax identification number or your bank account number.

Commission accrues when a customer payment settles. Commission on a subscription becomes payable after that practice's first 30 day paid subscription period. Commission on a recovery fee becomes payable once the recovered funds have been distributed and the same 30 day hold has run. The hold exists so refunds, cancellations, and chargebacks can be netted before money leaves. Payable balances are paid on a monthly cycle. A balance under $50 carries to the next cycle rather than paying a transfer fee to move a small amount.

You are responsible for your own taxes. Riiva does not withhold. Where required, an information return (for example Form 1099-NEC) will be issued based on the details you gave Stripe.

If a customer payment is refunded, voided, charged back, or written off, the commission accrued on it is reversed. A reversal appears as its own negative line on your statement; the original accrual is not deleted or rewritten. If a reversal exceeds your unpaid balance, the deficit is carried against future commission. We do not invoice you for it.

Participation requires all of the following.

• No bidding on Riiva brand terms or close variants in paid search, and no paid ads that impersonate Riiva.
• No coupon, deal, cashback, or incentive sites, and no unsolicited bulk email or SMS.
• No cookie stuffing, forced clicks, iframes, redirects, typosquatting, or any automated traffic.
• No self-referrals. You may not earn commission on a practice you own, control, or are employed by. If that is your situation, contact us about a direct arrangement.
• Say only what is true. Do not promise a specific recovery amount, guarantee an outcome, quote a rate we have not published, or describe Riiva as an insurance company, a clearinghouse, or a clinical service.
• Disclose the relationship where advertising and platform rules require it. If you are paid to promote something, say so plainly.
• Never share patient information with us, and never handle it as part of promoting Riiva. This program involves no patient data of any kind.
• Use only the Riiva name, logo, and materials as provided, and stop using them on request.

A breach may result in withheld or reversed commission and removal from the program.

We may change these terms, including rates, on 30 days notice to the email on your account. Commission already accrued is calculated at the rate in force when it accrued. Either of us may end participation at any time with written notice. On termination for any reason other than a breach of section 8, commission that has already accrued is paid out on the normal cycle.

Non-public information you learn about Riiva, its customers, or its pricing stays confidential. We process the details you submit to operate the program. See our privacy practices for how that data is handled.

The program is provided as is. To the fullest extent permitted by law, Riiva's total liability arising out of the program is limited to the commission payable to you in the twelve months before the claim. These terms are governed by the laws of the State of California, without regard to its conflict of laws rules.
